A unilateral offer is an offer made by one party and a bilateral offer is an agreement between two. But there are many other issues that can come up to complicate the issue between a unilateral and bilateral offer, including verbal and written agreements and passage of time.
Who Is Obligated
In a unilateral contract, only one party is obligated. One party is making an offer and no one is obligated to take them up on it. For example, if a company offers a coupon for a certain percent off, only the store is obligated. No one has promised to take the store up on the offer, but if someone does, the store is responsible to give the customer a discount. In a bilateral contract, both parties promise to perform or pay in a certain way, such as an agreement to sell lawn flamingos to a landscaper who has agreed to buy them at a certain price. Both are obligated.
Who Offer Is Extended to
A unilateral offer is generally extended to many people. Anyone reading the ad and within reach of the store may use the coupon. Anyone finding the lost puppy may receive the reward offered. A bilateral offer is generally between two parties who agree to perform certain services or provide certain products for a specific price. The terms of the agreement are just between the two parties.
Clarity
Usually a bilateral offer tends to be clear. One party gives something, another party gives something else in return. Frequently, however, a unilateral offer results in confusion. For example, a company writes in a handbook that all employees will be covered for insurance immediately upon hiring but then changes it's policy. If it gives employees the handbook, that could be construed as a unilateral offer. The employee could claim that the company made a unilateral offer.
Time Element
With a unilateral offer, the party making the offer needs to specify the time the offer is good for. With a bilateral offer, both parties need to agree on a time window for the product or service to be delivered and paid for or either party could be considered as being in breach of contract.
